These Terms of Service ("Terms") govern your access to and use of honestbytrade.com (the "Site") and any subscription, listing, or advertising service offered through it (the "Service"), operated by Honest By Trade, a business unit of JQuant Labs ("Honest By Trade," "we," "us," or "our"). By accessing the Site, creating a listing, or purchasing a subscription, you ("you," "your," or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Site or the Service.
Honest By Trade operates an informational website that displays estimated cost ranges for home services by city and service category. We offer paid "Spotlight" subscription listings that allow local businesses to be featured on relevant Site pages. Cost estimates displayed on the Site are for general informational purposes only and do not constitute a quote, appraisal, guarantee, or professional advice of any kind.
You must be at least 18 years of age and have the legal authority to bind the business you represent in order to purchase a Spotlight subscription. By submitting a listing, you represent and warrant that all information provided is accurate, current, and that you have the right to advertise the business named.
Spotlight subscriptions are billed on a recurring monthly basis through our third-party payment processor, Stripe, Inc. ("Stripe"). By providing payment information, you authorize us, through Stripe, to charge your payment method on a recurring basis until you cancel in accordance with Section 4. All fees are quoted and charged in the currency displayed at checkout (CAD or USD, depending on the location of the featured listing) and are exclusive of applicable taxes, which may be added where required by law.
You may cancel your subscription at any time through the self-serve management portal available at honestbytrade.com/manage. Cancellation will take effect at the end of your current billing period, and your listing will remain active until that period expires. All fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused listings, dissatisfaction with results, or any other reason, except where required by applicable law. If your payment method fails and the subscription is not renewed, your listing will be automatically removed.
Honest By Trade makes no representation, warranty, or guarantee regarding the volume of traffic, leads, inquiries, phone calls, or business that will result from a Spotlight listing. Placement, visibility, and search engine ranking of any page on the Site may change at our sole discretion and are influenced by factors outside our control, including third-party search engines. You acknowledge that advertising results vary and that no specific outcome is promised.
You are solely responsible for the accuracy of any business information, description, phone number, or website link you submit. We reserve the right, in our sole discretion, to refuse, edit, suspend, or remove any listing that we believe is false, misleading, fraudulent, defamatory, illegal, or otherwise inappropriate, without refund. You agree not to submit content that infringes the intellectual property, privacy, or other rights of any third party.
Cost ranges displayed on the Site are aggregated estimates based on available data and are provided "as is" for general informational purposes only. They do not constitute a binding quote from Honest By Trade or from any business listed on the Site. Actual costs for any service may vary significantly based on project scope, location, materials, contractor, and other factors. Honest By Trade is not a party to, and assumes no responsibility for, any transaction, contract, or dispute between a homeowner and a business found through the Site.
THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE, INCLUDING COST ESTIMATES OR THIRD-PARTY BUSINESS LISTINGS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HONEST BY TRADE, ITS OWNERS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO HONEST BY TRADE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Honest By Trade and its owners, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Site or Service; (b) any content or information you submit; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, regardless of your country of residence or the location of your business. If you are located in the United States, you agree that any dispute shall nonetheless be resolved under Ontario law as set out above, to the extent permitted by applicable mandatory law in your jurisdiction. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If unresolved within thirty (30) days, either party may pursue the matter exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.
We reserve the right to modify, suspend, or discontinue the Site or Service, in whole or in part, at any time, with or without notice. We may update these Terms from time to time; material changes will be reflected by an updated "Last updated" date above. Your continued use of the Site or Service after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Honest By Trade regarding the Site and Service, and supersede any prior agreements or understandings, whether written or oral.
